By browsing the website, contacting us, or engaging our Services, you agree to these Terms. If you are agreeing on behalf of a company or team, you represent that you have authority to bind that entity.

2. About Our Services

Epia provides virtual assistant support to real estate agents, brokers, and teams, including but not limited to lead qualification, appointment setting, CRM management, transaction coordination, and marketing support. Our assistants combine human expertise and AI-powered tools to complete the tasks you assign. Details of your specific engagement (scope, hours, fees, and deliverables) are set out in your proposal, quote, or service agreement, which form part of these Terms.

3. Eligibility

Our Services are available to individuals and businesses aged 18 or over who are legally authorized to use them. You agree to provide accurate information when contacting us or signing up.

4. Your Responsibilities

You agree to:

• Provide accurate information and reasonable access to the systems needed for us to perform the Services;
• Ensure you have the right and lawful basis to share any client or third-party data with us, including any consents required under applicable privacy laws;
• Comply with all applicable laws, including real estate regulations, fair housing laws, and licensing requirements in your jurisdiction;
• Review and approve any client-facing communications we prepare on your behalf before they are sent.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or to violate the rights of others;
• Request or direct us to engage in discriminatory, fraudulent, or deceptive practices;
• Attempt to access systems or data beyond the scope of your engagement;
• Misuse, resell, or sublicense the Services without our written consent.

6. Intellectual Property

All content on our website and all materials, processes, and tools we use to provide the Services (including our branding, templates, and proprietary methods) are owned by Epia or its licensors. During your engagement, we grant you a limited, non-exclusive right to use the deliverables we create for you for your internal business purposes. You retain ownership of the data and content you provide to us.

7. Confidentiality and Data

We treat the information you share with us, including your CRM data and client information, as confidential. We use it only to provide the Services and protect it in accordance with our Privacy Policy. Upon termination, we will return or delete your data as you direct, subject to legal retention requirements.

8. Fees and Payment

Fees for Services are described in your proposal, quote, or service agreement. Unless otherwise agreed, fees are billed in advance on a recurring basis and are non-refundable except as required by law. Late payments may result in suspension of Services.

9. No Professional Advice

Our Services are administrative and operational in nature. Epia does not provide legal, financial, tax, or licensed real estate brokerage advice. You remain solely responsible for decisions made in your business, including the content of client communications, compliance with your licensing obligations, and compliance with applicable real estate laws. You are also responsible for verifying the accuracy of any AI-generated content before use.

10. No Guarantee of Results

We work diligently to support your business, but we do not guarantee specific outcomes such as lead volume, sales, or revenue. Results depend on factors beyond our control, including market conditions and your own sales activity.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

12. Limitation of Liability

To the maximum extent permitted by law, Epia, its officers, employees, and assistants will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, or data, arising out of or related to these Terms or the Services. Our total aggregate liability for any claim will not exceed the total fees you paid to us in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Epia and its team from any claims, damages, or expenses (including reasonable legal fees) arising out of your use of the Services, your breach of these Terms, or your violation of applicable law.

14. Termination

Either party may terminate an engagement by providing notice as described in your service agreement. We may suspend or terminate access to the Services immediately if you breach these Terms. Upon termination, you remain responsible for fees accrued before termination, and the provisions of these Terms that by their nature should survive (including Sections 6, 7, 11, 12, 13, and 15) will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. For clients in Latin America, these Terms remain governed by Florida law unless you and Epia agree otherwise in writing; nothing in these Terms limits your rights under the mandatory consumer-protection laws of your country of residence. Any dispute arising out of these Terms will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. The current version will always be posted on this page with the "Last updated" date. Continued use of the Services after changes constitutes acceptance of the revised Terms.
